1. Who we are
VATWarden is operated by [OPERATOR_LEGAL_NAME], [OPERATOR_ADDRESS] ("we", "us"). These terms govern your use of vatwarden.com and the VATWarden API (the "Service").
2. The Service
The Service validates VAT identification numbers against official government registries (the European Commission's VIES system and, when enabled, the UK's HMRC service), archives the registry responses as evidence, and periodically re-checks VAT numbers you choose to monitor. Validation results are the registries' answers, passed through faithfully: we do not alter them, and we cannot make a registry answer correctly, quickly, or at all. When a registry is unavailable we may serve a cached prior answer, always marked as such.
3. Not tax or legal advice
The Service provides records and automation, not advice. Whether a given transaction may be zero-rated or reverse-charged is a determination for you and your tax advisor. We make no representation that using the Service satisfies any particular legal requirement in your jurisdiction.
4. Accounts
You must provide accurate information, keep your credentials and API keys confidential, and be a business user. You are responsible for activity under your account and keys. We may suspend accounts that abuse the Service (including attempts to circumvent rate limits or quotas, resale of raw registry access, or unlawful use).
5. Plans, trials and billing
Paid plans are billed monthly in advance through our payment processor, Stripe. New subscriptions start with a 14-day free trial; a payment card is required to start the trial and you can cancel at any time before it ends without charge. During a trial, usage stops at the plan's included quota. On paid plans, validations beyond the included quota are charged at the plan's per-validation overage rate, billed with the following invoice. Prices exclude VAT where applicable; VAT is determined at checkout from your billing details. You can cancel or change plans at any time from the billing portal; cancellation takes effect at the end of the paid period. Fees already paid are non-refundable except where the law requires otherwise.
6. Your evidence, retention and export
Validation records (including registry responses and consultation IDs) are retained for 7 years from creation. This archive is append-only: neither you nor we edit or delete individual records through the Service. If your subscription ends, your dashboard remains accessible read-only and you can export your validation history as CSV at any time — you do not lose your audit trail by cancelling.
7. Availability
We aim for high availability but the Service is provided "as is" and depends on third-party registries that are outside our control and fail regularly. We do not warrant uninterrupted or error-free operation. We may modify the Service; we will not materially reduce the core function of an active paid plan without notice.
8. Liability
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service in any 12-month period is limited to the fees you paid us for the Service in that period, and neither party is liable for indirect or consequential loss (including tax assessments, penalties or interest levied on you). Nothing in these terms limits liability that cannot be limited by law.
9. Termination
You may stop using the Service and cancel at any time. We may terminate or suspend on material breach of these terms. Sections 6 (retention and export), 8 and 10 survive termination.
10. General
These terms are governed by the law of the operator's place of establishment, stated above, without regard to conflict-of-law rules. If a provision is found unenforceable, the remainder stands. We may update these terms; material changes will be announced on this page with a new "last updated" date, and continued use after the effective date constitutes acceptance.
